1. General Service Terms

Mozarc Co., Ltd. (DBA osInc) (“Company,” “we,” “us,” or “our”) offers users access to the osMerge platform and its related services. The terms outlined in this document govern the use of our services, including but not limited to:

Access to osMerge, including API usage and platform functionalities.
Usage of features provided through the service, as detailed in our platform.

These services are provided in accordance with our Privacy Policy and User Guidelines, and users are expected to comply with all applicable terms when accessing and using the service.

2. Service Scope & Limitations

While we provide access to various tools and services through osMerge, users are required to adhere to the following:

Limitations of Use: The services are offered for lawful, non-abusive purposes and as permitted by applicable laws. Users must refrain from engaging in any prohibited activities (e.g., hacking, spamming, or use for illegal activities).
Geographical Limitations: Services are available globally, but some features may be restricted or unavailable in certain regions due to local regulations or provider terms.

3. User Responsibilities & Conduct

Users are responsible for:

Complying with all applicable laws, including respecting intellectual property and privacy rights.
Using the service in a manner that is non-abusive, non-disruptive, and in accordance with our policies.
Ensuring that all actions taken on the platform comply with third-party provider terms, such as AI model usage policies.

4. Account Management

Account Creation & Termination: Users must create accounts to access the service. Accounts are personal and non-transferable. Mozarc reserves the right to suspend or terminate accounts for violations of these service terms.
Notification of Termination: Users will be informed about account termination or suspension through the email address associated with their account.
Violations of Terms: If a user violates these terms, the account may be suspended or terminated at Mozarc’s discretion. No prior warning will be issued.

5. Payments & Billing

Pricing & Subscriptions: By subscribing to our service, users agree to the applicable pricing and subscription plans. All payment terms are clearly outlined in the payment page of the service.
Payment Failures: If a payment fails, service access will be suspended. Users can update their payment information through the dashboard to restore service. If the payment is not updated, we will be terminating the workspace and accounts.
Refunds: All payments made are non-refundable, including but not limited to payments made for service downtimes, cancellations, or any other circumstances.

6. Intellectual Property

Ownership of Outputs: Users retain ownership of the content they upload and generate through the platform. Mozarc does not claim ownership over AI-generated outputs.
Intellectual Property of Service: The technology, platform, and services provided by Mozarc remain the intellectual property of Mozarc, including the underlying infrastructure and tools.

7. Dispute Resolution

Arbitration: Any disputes arising from or related to these service terms shall be resolved through binding arbitration, in accordance with the relevant arbitration rules.
Jurisdiction & Laws: Any legal proceedings related to the service terms shall be governed by the laws of Japan, and disputes shall be resolved in Tokyo courts or via arbitration.

8. Limitation of Liability & Disclaimers

Limitation of Liability: Mozarc provides the service “as-is” and will not be liable for any damages arising from the use of the service, including but not limited to indirect, incidental, or consequential damages.
No Liability for Service Downtime: Mozarc is not responsible for any data loss, downtime, or other issues arising from the use of the service.

9. Amendments to Service Terms

Notification of Changes: We reserve the right to update or modify these service terms. Any changes will be posted on our Service Terms page and will be effective immediately upon posting.
Acceptance of Revised Terms: Users are required to accept any revisions to these terms in order to continue using the service.

10. Termination & Suspension

Termination by Users: Users may terminate their subscription at any time through the payment settings page of their account.
Termination by Mozarc: Mozarc reserves the right to suspend or terminate a user’s account for violations of the terms at its discretion. Termination may occur without prior notice.
