1. Introduction

Welcome to osMerge, a service provided by Mozarc Co., Ltd. (DBA osInc) (“Company,” “we,” “us,” or “our”). By using our platform, you agree to comply with these Terms of Use. If you do not agree, you must discontinue use immediately.

2. Governing Law & Dispute Resolution

These Terms are governed by the laws of Japan. Any disputes arising from these Terms shall be resolved through binding arbitration in Tokyo, Japan. Users waive any right to participate in a class-action lawsuit against the Company. Each party shall bear its own legal fees in any dispute.

3. User Accounts & Eligibility

  • Users must provide a valid email address to create an account.
  • Users may maintain multiple accounts.
  • We reserve the right to terminate or suspend accounts at our sole discretion, without prior notice or explanation.
  • Users are responsible for securing their own API keys and credentials.

4. Use of the Service

  • Our platform allows users to interact with multiple AI models through their own API keys from third-party providers.
  • We store user-submitted prompts, uploaded files, and AI-generated responses in a secure database for usability purposes.
  • We do not use stored data beyond service functionality and collect only anonymized telemetry data to improve user experience.

5. Third-Party AI Model Providers

  • We are not affiliated with any AI model providers.
  • Users must comply with the terms and policies of their respective API providers.
  • If an AI provider bans a user, we reserve the right to ban them from our platform as well.

6. Prohibited Activities

Users may not:

  • Use our services to infringe upon any third-party rights.
  • Generate or distribute content related to hate speech, violence, deepfakes, fraud, misinformation, or other illegal activities.
  • Use API keys that violate the terms of third-party providers.

7. AI-Generated Content

  • Users may use AI-generated content for commercial purposes, subject to third-party provider policies.
  • Users are responsible for ensuring compliance with applicable laws regarding AI-generated content.

8. Payment, Refunds & Pricing

  • All payments are non-refundable once processed.
  • Accounts will be automatically suspended in case of payment failure.
  • We reserve the right to modify subscription pricing at any time without prior notice.

9. Liability & Disclaimers

  • We provide the service on an “as-is” and “as-available” basis.
  • We do not guarantee the accuracy, reliability, or availability of AI-generated outputs.
  • Users agree to use the service at their own risk.
  • We disclaim liability for any damages, including service downtime, API failures, or third-party rate limits.
  • Users agree to indemnify us against any legal claims related to their use of our service.

10. Data Privacy & User Rights

  • Users retain ownership of their submitted data and AI-generated outputs.
  • Users may request data deletion at any time.
  • We store data solely for service functionality and do not share personal data with third parties.

11. Account Termination & Suspension

  • We reserve the right to terminate any user account at our sole discretion.
  • Violations of these Terms may result in immediate and permanent account suspension.
  • Users may submit an appeal for account termination, but decisions are final at our discretion.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of the service after changes constitutes acceptance of the updated Terms.
